Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Nexovil platform, including the website at nexovil.us.ci and the application at app.nexovil.us.ci (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

Nexovil provides a cloud-based software-as-a-service platform for rental businesses to manage bookings, inventory, contracts, customer data, and related operations. The Service is provided on a subscription basis.

3. Accounts and Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

4.1 Fees

You will pay all fees specified in the plan you select. Fees are billed in advance on a monthly basis and are non-refundable except as required by law or as expressly stated in these Terms.

4.2 Auto-Renewal

Unless you cancel before the end of the current billing period, your subscription will automatically renew for an additional period of the same length.

4.3 Cancellation

You may cancel your subscription at any time through the Billing page. Cancellation will take effect at the end of the current billing period. You will not receive a refund for any partial month.

4.4 Payment Processing

Payments are processed by our third-party payment processor, Lemon Squeezy. By providing payment information, you authorize us and Lemon Squeezy to charge your payment method.

5. Free Trial

We may offer a free trial. At the end of the trial period, you must select a paid plan to continue using the Service. If you do not select a plan, your account will become read-only, and you will retain the ability to export your data for a period of 30 days.

6. Customer Data

6.1 Ownership

You retain all rights, title, and interest in and to the data you submit to the Service ("Customer Data"), including data relating to your own customers, inventory, and bookings.

6.2 License to Us

You grant us a non-exclusive, worldwide, royalty-free license to access, use, process, and display Customer Data solely for the purpose of providing the Service to you.

6.3 Data Protection

Our collection and use of personal information in connection with the Service is governed by our Privacy Policy and Data Processing Agreement.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to send unsolicited bulk email or other spam.

8. Intellectual Property

The Service, including all software, design, text, graphics, and logos, is owned by Nexovil or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks or logos without our prior written consent.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party.

10. Third-Party Services

The Service may integrate with or contain links to third-party websites or services, such as payment processors or email providers. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXOVIL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Nexovil from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles.
